Terms of Service

1. Acceptance of Terms

By accessing our website or using the services of SG1 Consulting ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services

SG1 Consulting provides AI automation consulting services including but not limited to:

  • Business process automation consulting
  • AI implementation and integration
  • Workflow optimization
  • Training and support
  • Pilot program development

3. Client Responsibilities

You agree to:

  • Provide accurate and complete information necessary for our services
  • Grant necessary access to systems and data
  • Assign appropriate personnel to work with our team
  • Make timely decisions and approvals
  • Maintain backups of all data and systems
  • Comply with all applicable laws and regulations

4. Fees and Payment

Fees for services will be specified in the service agreement. All fees are in Australian dollars unless otherwise specified. Payment terms are net 30 days from invoice date unless otherwise agreed.

5. Intellectual Property

You retain all rights to your data and pre-existing intellectual property. We retain all rights to our methodologies, tools, know-how, and pre-existing intellectual property. Custom developments created specifically for you will be addressed in the service agreement.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This obligation survives termination of these Terms for a period of five years.

7. Warranties and Disclaimers

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We cannot guarantee specific results, ROI, or business improvements.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO OUR SERVICES SHALL NOT EXCEED THE FEES PAID FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM. WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

9. Indemnification

You agree to indemnify and hold us harmless from any claims arising from your breach of these Terms, violation of laws, or infringement of third-party rights.

10. Termination

Either party may terminate services upon written notice as specified in the service agreement. Termination does not relieve payment obligations for services rendered.

11. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales.

13. The Everything — SaaS Service & Office Add-in

These additional terms apply to your subscription to The Everything, our AI assistant service delivered via Microsoft Teams and Microsoft Word. They supplement (and do not replace) the consulting terms above. In the event of conflict, this section governs The Everything service.

13.1 Subscription & billing

  • The Everything is sold on a monthly or annual subscription basis. Pricing is published at sg1consulting.com.au/pricing and confirmed in your service agreement.
  • Subscriptions auto-renew at the end of each billing period unless cancelled at least 7 days prior to renewal.
  • Cancellation may be requested at any time via email to everything@sg1consulting.com.au. Cancellation takes effect at the end of the current billing period.
  • No refunds are issued for partial billing periods.
  • Billing is processed via Stripe Inc. We do not store payment card numbers on our systems.

13.2 Acceptable use

You agree not to use The Everything to:

  • Generate, transmit, or store content that is unlawful, defamatory, harassing, obscene, or infringes intellectual property rights
  • Send unsolicited commercial communications or spam
  • Attempt to extract, reverse-engineer, or train third-party AI models on the service’s output
  • Circumvent authentication, billing, or rate-limiting controls
  • Use the service to provide services to your own customers without a separate reseller agreement
  • Process highly sensitive data subject to specific regulatory schemes (e.g. HIPAA-protected health information, PCI-DSS payment card data) without prior written agreement

13.3 Service availability

We aim to provide The Everything with 99% monthly uptime, excluding planned maintenance windows. Scheduled maintenance is announced via in-product notification at least 24 hours in advance where feasible. Outside of negotiated enterprise agreements, there is no service-level credit for downtime.

13.4 AI output disclaimer

The Everything uses third-party large language models (including Claude by Anthropic) to generate content. AI-generated content may contain errors, omissions, or fabricated information. You are responsible for reviewing all AI-generated content before relying on it, sending it externally, or using it in business decisions. We do not warrant the accuracy, completeness, or fitness for purpose of any AI-generated content.

13.5 Customer data

You retain ownership of all data you submit to The Everything (documents, chat messages, business information). We process this data solely to deliver the service to you. We do not use your data to train AI models, sell it to third parties, or use it for any purpose other than providing the service. See our Privacy Policy for details on data handling, sub-processors, and retention.

13.6 Microsoft 365 integration

The Everything is distributed in part through the Microsoft Office Add-in framework and the Microsoft Teams app catalog. Microsoft is not a party to this agreement and is not responsible for the service. Where you acquire The Everything through Microsoft AppSource, the Microsoft Commercial Marketplace Terms of Use also apply to that acquisition.

13.7 Modifications

We may modify these subscription terms with 30 days’ notice via email or in-product notification. Continued use of the service after the notice period constitutes acceptance.
